FiatXchange User Agreement
Effective Date: 11/10/2024
This Agreement ("Agreement") governs the relationship between Metax Payments Ltd, operating under the
brand "FiatXchange," a company registered in Canada (incorporation number BC1406436) and registered as a
Money Services Business with FINTRAC under number M23579425 (referred to as "FiatXchange," "we," or
"us") and you, the user ("you" or "Client"). This Agreement outlines the terms under which you may use
FiatXchange's services to buy and sell USDT.

By using our services, you
agree to the terms contained herein.*
1. Services Offered
FiatXchange offers services exclusively for buying and selling USDT. We do not support any other digital
assets, including other cryptocurrencies or stablecoins. You agree to use the services strictly for
lawful purposes, and FiatXchange does not provide any investment advice or broker services.
2. Account Eligibility and Registration
You must be at least 18 years of age, legally capable of entering into a binding contract, and meet any
other eligibility criteria as required by local laws in your jurisdiction. You are responsible for the
accuracy of all the information provided during registration and for ensuring that all account details
remain current.
- Identity Verification: You agree to provide FiatXchange with
accurate, current, and complete
information about yourself as prompted during registration, and you authorize FiatXchange to verify
your identity for compliance purposes.
- Account Responsibility: You are responsible for maintaining
the confidentiality of your account login credentials. FiatXchange is not liable for any loss or
damage arising from unauthorized access to your account due to your failure to safeguard login
credentials.
3. Use of Services
You agree that:

FiatXchange services are only available for transactions involving USDT. FiatXchange
does not provide custodial or wallet services. FiatXchange solely provides the platform for
completing the transaction and does not guarantee the ongoing value or market availability of USDT.

You will not use the services for unlawful activities, including money laundering, terrorism
financing, or fraud. FiatXchange reserves the right to suspend or terminate accounts involved in
illegal activity without notice.
4. Fees
Fees for using FiatXchange services will be disclosed prior to the completion of any transaction.
FiatXchange reserves the right to modify the fee structure, subject to providing reasonable notice of
such changes. By continuing to use the service after a fee change, you agree to the new fee structure.
5. Risk Disclosure and Limitation of Liability
- Market Volatility: FiatXchange makes no guarantees regarding
the price stability or liquidity of USDT. All transactions are final and non-reversible once
completed. You acknowledge that market prices of USDT are subject to significant fluctuations and
agree that FiatXchange is not responsible for any losses due to market conditions.
- Third-Party Services: FiatXchange may engage third-party
service providers to
facilitate transactions. FiatXchange is not liable for the performance or failure of these third
parties, including delays, network errors, or blockchain issues.
6. Regulatory Compliance
FiatXchange complies with all applicable Canadian regulations, including FINTRAC requirements for
reporting suspicious activities and large transactions. By using FiatXchange services, you agree to
comply with these regulations, and FiatXchange may, at its discretion, request additional documentation
from you to meet its legal obligations. Failure to comply may result in account suspension or
termination.
7. Dispute Resolution and Governing Law
- Governing Law: This Agreement is governed by the laws of
British Columbia,
Canada. Any dispute, claim, or controversy arising out of or relating to this Agreement
will be settled
by binding arbitration in British Columbia, with the exception
of claims for injunctive relief.

Arbitration Agreement: You agree to resolve disputes
exclusively through arbitration, waiving your right to participate in class actions or other forms
of litigation.
8. Indemnification
You agree to indemnify, defend, and hold harmless FiatXchange, its officers, directors, employees, and
affiliates from and against any claims, damages, liabilities, and expenses arising out of your use of
the services or your violation of this Agreement. This includes any legal fees incurred as a result of
your breach.
9. Termination of Services
FiatXchange reserves the right to terminate or suspend your account at any time, without prior notice,
for conduct that it believes, in its sole discretion, violates the terms of this Agreement or applicable
laws. Upon termination, any outstanding USDT or funds may be subject to legal hold until the conclusion
of an investigation.
10. Amendments and Modifications
FiatXchange may update or modify this Agreement at any time, with or without notice. Any such changes
will take effect immediately upon being posted on the website. Your continued use of the services
constitutes acceptance of the revised Agreement.
11. Force Majeure
FiatXchange is not liable for any failure to perform or delays in performance due to circumstances
beyond its reasonable control, including natural disasters, war, government intervention, or blockchain
network failures.
12. Severability
If any part of this Agreement is deemed invalid or unenforceable, the remaining provisions will continue
in full force and effect.
